Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and 3liChat ("we", "us", "our") and govern your access to and use of 3lichat.com, our web application, our chat widget, and our APIs (together, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. In that case, "you" and "your" refer to that entity.

3liChat provides an AI-powered live chat and customer-support platform that lets you communicate with visitors to your website, route conversations to agents and bots, and generate analytics.

We may add, modify, or remove features over time. We will not materially degrade the Service during a paid subscription period without good reason and reasonable notice.

To use the Service you must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into binding contracts. You agree to:

• Provide accurate, current information when you register and keep it up to date.
• Keep your password and any API keys confidential. You are responsible for everything that happens under your account.
• Notify us immediately at the security address below if you suspect unauthorised access.
• Not share a single user seat between multiple individuals — each person needs their own account.

You may sign in using a third-party identity provider (such as Google or Facebook). Your use of that provider is governed by its terms; we are not responsible for it.

You agree not to, and not to permit any third party to:

• Use the Service to send unlawful, defamatory, harassing, infringing, deceptive, or harmful content; or to facilitate spam, phishing, or any form of unsolicited bulk messaging.
• Upload malware, exploit vulnerabilities, attempt to circumvent rate limits or access controls, or interfere with the operation of the Service.
• Reverse engineer, decompile, or attempt to derive source code or models from the Service, except to the extent expressly permitted by applicable law.
• Scrape, mirror, or harvest data from the Service except via documented APIs and within their stated limits.
• Use the Service to compete with us, train a competing AI model, or provide a derivative service.
• Use the Service in a way that violates a third party's intellectual property, privacy, or other rights, or that violates applicable law.
• Use the Service to process special categories of personal data (such as health, biometric, or government identifiers) without entering a separate written agreement with us.

We may suspend or terminate accounts that violate these rules. For serious or repeated violations, we may do so without notice.

As between you and us, you own the content you submit through the Service (your "Customer Data"). You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process Customer Data solely to provide and improve the Service and to comply with legal obligations.

You are responsible for the accuracy, quality, and legality of Customer Data; for obtaining all necessary consents from your end users (including any consent required to use cookies, place the chat widget, or transfer data internationally); and for the means by which you acquired the data.

We will not use Customer Data to train models that are shared across customers without your explicit instruction. See our Privacy Policy for full details on how we process personal information.

Some features are free; others require a paid subscription. Current pricing is published at 3lichat.com/pricing and is incorporated into these Terms.

• Subscriptions renew automatically at the end of each billing cycle (monthly or annual) at the then-current rate, unless cancelled before renewal.
• You authorise us, or our payment processor (Stripe for cards, MoMo for VND), to charge the payment method you provide.
• All fees are exclusive of taxes. You are responsible for any sales, use, VAT, or withholding taxes, except for taxes on our net income.
• If a payment fails, we may suspend the Service until it succeeds. We will give reasonable notice before suspension.
• Except where required by law, fees are non-refundable. We may issue a pro-rated refund on a case-by-case basis at our discretion.
• For annual subscriptions, no refunds are issued for partial months remaining when you cancel. Your subscription remains active until the end of the current period.

We may change prices with at least 30 days' notice before the start of your next billing cycle. Continued use after the price change takes effect constitutes acceptance.

3liChat and its licensors retain all right, title, and interest in the Service, including all software, models, designs, trademarks, and documentation. Nothing in these Terms transfers any of those rights to you, except for the limited licence to use the Service as described.

If you give us feedback, suggestions, or ideas about the Service, we may use them without any obligation to you.

The Service may integrate with third-party products (Google sign-in, Meta login, Stripe, MoMo, hosting providers, large language model providers, etc.). Your use of those products is governed by their terms; we are not responsible for their availability, accuracy, or conduct.

The Service includes AI-generated features. AI output can be inaccurate, incomplete, or biased. You are responsible for reviewing AI output before relying on it, especially before making decisions that affect customers, money, health, or safety.

Please read this section carefully.

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service will produce specific results.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, or data, even if advised of the possibility of such damages.

Our total aggregate liability for any claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts paid by you to us in the 12 months preceding the event giving rise to the claim, or (b) USD 100.

These limits apply to the fullest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under applicable law (such as for gross negligence or wilful misconduct).

You will defend, indemnify, and hold harmless 3liChat and its affiliates, officers, employees, and agents from any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of (a) your Customer Data, (b) your use of the Service in breach of these Terms or applicable law, or (c) your violation of any third party's rights. We will give you prompt written notice of any claim and reasonable cooperation to defend it.

You may stop using the Service and delete your account at any time (see Data Deletion Instructions).

We may suspend or terminate your access to the Service if (a) you breach these Terms and do not cure the breach within 14 days of our notice, (b) we are required to do so by law, or (c) your use poses a security risk or unreasonable burden on the Service.

On termination, your right to use the Service stops immediately. We will retain or delete Customer Data as described in the Privacy Policy. Sections that by their nature should survive termination (including IP, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the competent courts of Ho Chi Minh City for any dispute arising from these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

If you are a consumer in the EU/EEA or another jurisdiction that gives you mandatory rights, nothing in these Terms removes those rights.

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice in the Service at least 30 days before the changes take effect. If you keep using the Service after the effective date of the change, you accept the updated Terms. If you do not accept them, you should stop using the Service.

• Entire agreement. These Terms, the Privacy Policy, and any order forms or written agreements signed by us are the entire agreement between you and us about the Service.
• Severability. If any provision is held unenforceable, the rest will remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, war, internet outages, etc.).
• Notices. We may send notices by email to the address on your account or by posting in the Service. You may send notices to the addresses below.
